Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Reachmigo ("Reachmigo", "we", "us", or "our") governing your access to and use of the platform available at https://reachmigo.com and all associated services (collectively, the "Service").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Reachmigo is a B2B outbound sales automation platform that enables businesses to create, schedule, and manage email outreach campaigns to prospective customers. The Service includes:

• Multi-step email sequence builder and campaign management
• Lead and prospect list management
• Email inbox connection and warm-up tools
• Open and click tracking and analytics
• Reply inbox management
• Team collaboration features
• API access for programmatic use

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at support@reachmigo.com of any unauthorized use of your account

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use only, not for personal or consumer use.

You agree to use the Service only for lawful business purposes. You must not:

• Send emails to individuals who have not given consent and with whom you have no pre-existing business relationship
• Send spam, bulk unsolicited email, or messages to purchased or rented email lists
• Use the Service to send phishing emails, malware, or deceptive content
• Impersonate any person, company, or brand you are not authorized to represent
• Send emails that violate CAN-SPAM, CASL, GDPR, or any other applicable law
• Ignore or circumvent unsubscribe requests — you must honor all opt-outs within 10 business days
• Use the Service to harass, threaten, or abuse any person
• Attempt to reverse-engineer, scrape, or extract data from the Service
• Use automated tools to send more email than your plan allows
• Resell or sublicense access to the Service without written permission

Violation of this policy may result in immediate suspension or termination of your account, without refund. We reserve the right to report violations to relevant authorities.

As a user of Reachmigo, you are the sender of record for all emails sent through the platform. You are solely responsible for ensuring that your outreach campaigns comply with all applicable email regulations, including:

• CAN-SPAM Act (United States) — include a physical address, honor opt-outs within 10 days, do not use deceptive subject lines
• CASL (Canada) — obtain express or implied consent before sending commercial electronic messages to Canadian recipients
• GDPR (European Union) — ensure a lawful basis for processing personal data and sending commercial communications
• Any other local laws applicable to your recipients' jurisdiction

Reachmigo provides one-click unsubscribe infrastructure. You agree to include an unsubscribe link in all marketing emails and to honor unsubscribe requests. We may automatically suppress contacts who have unsubscribed.

Reachmigo offers subscription plans (Free, Starter, Growth, Scale). Paid plans are billed monthly or annually in advance.

• All fees are stated in US Dollars and are non-refundable except as expressly stated in this agreement
• If you upgrade your plan, the new rate takes effect immediately and is prorated for the remainder of the billing period
• If you downgrade, the change takes effect at the next billing cycle
• Failure to pay may result in suspension of your account. We will provide at least 7 days notice before suspension
• Prices are subject to change with 30 days notice. Continued use constitutes acceptance of new pricing

Payment is processed by Stripe. By providing payment information, you authorize Stripe to charge your payment method on our behalf.

We may offer a free tier or trial period. During a free trial, you have access to the Service subject to any limitations we specify. We reserve the right to modify or terminate free tier access at any time with reasonable notice. We are not liable for any data loss if you do not upgrade before a free trial ends.

Your data belongs to you. You retain all ownership rights to the prospect data, email content, and other content you upload or create using the Service ("Customer Content").

By using the Service, you grant Reachmigo a limited, non-exclusive license to store, process, and transmit Customer Content solely to provide the Service to you. We will not access your Customer Content except to provide support, ensure security, or as required by law.

You represent and warrant that you have all necessary rights to upload your Customer Content and that doing so does not violate any third-party rights or applicable law.

The Service, including its software, design, trademarks, and all associated intellectual property, is owned by Reachmigo and protected by copyright, trademark, and other applicable laws.

You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our express written permission.

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual, irrevocable license to use that feedback in any way we choose.

Each party may receive confidential information from the other. Both parties agree to keep the other's confidential information secret and to use it only for the purposes of fulfilling obligations under these Terms. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, REACHMIGO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REACHMIGO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO REACHMIGO IN THE 3 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL REACHMIGO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Reachmigo does not guarantee email deliverability, open rates, reply rates, or any particular business outcome from using the Service.

You agree to indemnify, defend, and hold harmless Reachmigo and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Customer Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right; or (e) any email campaign you conduct using the Service.

These Terms remain in effect for as long as you use the Service.

• You may cancel your account at any time from your account settings
• We may suspend or terminate your account immediately if you violate the Acceptable Use Policy or any other material term of these Terms
• We may terminate or suspend the Service with 30 days notice for any other reason
• Upon termination, your access to the Service ends immediately. We will retain your data for 30 days after termination, after which it will be deleted

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be resolved through good-faith negotiation. If that fails, disputes shall be submitted to binding arbitration under the rules of the Indian Arbitration and Conciliation Act, 1996, conducted in English. The arbitration shall take place in Bengaluru, India.

If you are located in the European Union, nothing in these Terms affects your statutory consumer rights under applicable EU law.

We reserve the right to update these Terms at any time. For material changes, we will provide at least 14 days advance notice by email or via a prominent notice in the Service. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the updated Terms.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Reachmigo regarding the Service
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely
• Force Majeure: Neither party shall be liable for delays caused by circumstances beyond their reasonable control
